Before becoming a member of Hpic Program, please read the
following terms and conditions:
1. Becoming a member of Hpic advertising programs
To participate in the program, you agree to enter into an agreement with
Hpic, a Company fully registered at the AN Chamber of Commerce under the
No 71302. The Terms and Conditions of membership are applicable on all
actions unless is agreed otherwise. Terms and conditions can be changed
by H&H at anytime. The changes become effective when posted on the
Internet Service. By filling out and submitting the SIGN UP form, you
agree to be bound by the terms of this agreement. The date of the execution
shall be the date the form has been filled in.
All webmasters are welcome in this program except webmasters
from Afganistan, Albania, Argentina, Armenia, Azerbaijan, Belarus, Bosnia
and Herzegovina, Brazil, Mexico , Bulgaria, China, Colombia, Costa Rica, Croatia,
Czech Republic, Ecuador, Estonia, Georgia, Hong Kong, Hungary, India,
Indonesia, Iran, Iraq, Israel, Japan, Jordan, Kaliningrad, Kazakhstan,
Korea (North and South), Kyrgyzstan, Latvia, Lithuania, Macedonia, Malaysia,
Moldova, Pakistan, Panama, Philippines, Poland, Romania, Russia, Serbia and Montenegro,
Singapore, Slovakia, Slovenia, Syria, Taiwan, Tajikistan, Thailand, Trinidad,
Turkey, Turkmenistan, Ukraine, United Arab Emirates, Uzbekistan and Venezuela.(For
better information as the forbidden country list may vary , please contact us ).
2. Payments
H&H will pay 30 US$ commission per trial/new membership to any of
the Hpic Sites, plus any bonuses as defined in the page TRIALCASH. htm,
further in the site. ($25 per sign up on console free links)
- for amounts below 100 US$, we hold payment until they exceed US$
100.00.
- Payments are made every week for traffic generated Sunday to Saturday
of the previous week.
3. Rights Granted
During the term of this agreement, H&H grants to the owner/operator
of the Internet Site (hereinafter "Site Operator") the rights
to use the banners advertising H&H sites. The rights granted shall
be for reasonable, appropriate and lawful use only, and the site operator
recognize that H&H sites are for adult usage only. The banners as
the links cannot be modified and only H&H banner’ sites s can
be used The exact same code as given after submitting to the SIGNUP form
must be used. As many banners can be put on the Site Operator.
4. Site Operator Obligations
- As many banners can be put on the Site Operator.
- Only One account must be created per H&H site advertised and
the operator can open only one account per site. All techniques to
create fake adresses, pseudonym, etc to go around this rule will lead
to non payments of the site operator.
- Site operator agrees not to use any spamming technique (like
EMAIL or NEWSGROUP) or listing on newsgroups or any other fraudulent
method if so, H&H reserve the right not to pay the site operator.
As referor are tracked in the statistics /logs file, any missing referer
can be considered as spamming.
- Warez/password sites are allowed to sign in this program,
but they are also welcome in the specially designed Warez/click
program as well as in the 60% - 70%
partnership + 100% dialer
- The site operator must enter the URL from where a visitor will go
to the HH sites, this URL should be consistent with the referal URL
obtained in the statistic file. If not HH reserve the right to pay
not to pay the click operator.
- Text links or Blind links or exit traffic or 404 traffic are allowed
- Sites that promote or contain content of Child pornography, or any
illegal activity are not allowed to participate ( that may include
meta tags, text, links, graphic(s) or any HTML ).
- Signups generated as a requirement to enter or obtain access to
goods or services on the webmaster ( or anyone else ) website are
not allowed. H&H may cancel those accounts without payment.
- At its sole discretion, H&H may terminate any account containing
fraudulent account information
- Any misrepresentation of H&H sites, including but not limited
to: misrepresenting the cost of membership, terms of membership, or
content contained within H&H sites. Exploitation of our terms
and conditions, including but not limited to, instructing the member
to signup and cancel is also not permitted in any way.
5. Commissions / Ratios / Chargebacks
- 5.1 - For each person who follows a Link from your website
to a HPIC Website and becomes a subscriber to a HPIC Website, you will
receive a referral fee or commission as set forth at the "Trial Cash
Programs" link located at www.hpic.com. In order for a commission to
be paid, the visitor who you referred to a HPIC Website will be tracked
by our internal tracking system. No commission will be paid if the visitor
to our site cannot be tracked by our system. All commissions and referral
fees due and payable hereunder shall be payable in United States Dollars.
We reserve the right to reject traffic that does not comply with certain
requirements that we have periodically, or may in the future, establish.
We will be solely responsible for all aspects of traffic recording.
We will track the volume of traffic generated by your site and will
make unaudited reports, summarizing this activity. The form, content
and frequency of the reports may vary from time to time in our discretion.
To permit accurate tracking, reporting, and fee accrual, you must ensure
that the Links between your site and our site are properly formatted.
You shall not be entitled to a commission or referral fee from us for
any subscription that we reasonably determine is the result of possible
fraudulent activity or where we, in our sole opinion, determine that
your aggregate account activity differs from historical or industry
averages.
- 5.2 - Affiliates who have charge-backs of two (2%) percent
or greater, or credit-backs of five (5%) percent or greater may be terminated
from the Program. Credit-back is defined as customers who cancel their
memberships and receive a credit. Charge-back is defined as a refund
of payment for customers after the credit card has been processed.
6. Representations and Warranties
The site Operator warrant and represent that he owns or operates a lawful
and otherwise valid Internet Web site. You acknowledge that he has the
power to enter into this Agreement and performs the obligations set forth
herein and that he is an adult above 18 years of age. The site operator
shall indemnify H&H against any loss, damage, liability (including
any legal fees)which result from the use of any H&H material not expressly
authorized by this agreement. The site operator agrees and warrants that
no "adult restricted" banners will be placed on areas of your
site which may be accessed by minors.
7. Limitation of Liability
H&H makes no warranties with regard to the performance of the link
or the content of H&H sites. H&H shall not be held liable to the
site Operator or any other person or entity, including users of H&H
services, for any losses, injuries or damages of any kind, arising from
or in connection with any mistakes, omissions, delays, errors, interruptions
in the transmission or receipt of H&H services or content.
8. Term and Termination
The term of this agreements are indefinite. H&H reserves the right
to terminate this agreement at any time, without cause. Delivery of notice
via E-Mail shall be considered sufficient notice. Upon termination of
this agreement the Site Operator shall be entitled to all unpaid commissions,
commissions for referrals delivered after the date of termination will
not be due. Final payouts are made if the account balance exceeds fifty
dollars.
9. Litigations
This agreement shall be governed by the laws of NA.
